Syncrostore Terms of Service

1. Acceptance of Terms

By accessing or using the Syncrostore and/or the Syncrostore Mobile Application, including any related applications, services, and website (collectively, the "Services"), you ("You" or "User") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you may not access the Services.

2. Description of Services

Syncrostore provides a cloud-based software suite designed to help businesses manage various aspects of their operations, including:

Point of Sale (POS): Processing sales transactions, managing payments, and generating receipts.
Inventory Management: Tracking inventory levels, receiving, and transferring stock, and managing product information.
Sales and Transaction Management: Recording and analyzing sales data, managing returns and exchanges, and tracking customer purchase history.
Layaway Management: Facilitating layaway sales and tracking customer payments.
Vendor Management: Maintaining vendor information, tracking purchase orders, and managing vendor relationships.
Rent Management: Tracking rental agreements, processing rental payments, and managing tenant information (if applicable to your business).
Settlements: Facilitating payment to vendors for goods sold on consignment. This includes tracking sales of consigned goods, calculating commissions or fees, generating settlement reports, and processing payments to vendors.
Store Mapping: Creating and managing visual maps of store layouts (if applicable).
User Management: Creating and managing user accounts with different access levels and permissions.
Reporting: Generating various reports on sales, inventory, customers, and other business data.

3. User Accounts

3.1 Account Creation:

To use the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information, including your password, and you are fully responsible for all activities that occur under your account.

3.2 Accurate Information:

You agree to provide accurate and complete information when creating your account and to update your information to keep it accurate and complete.

3.3 Account Usage:

You may not use another user's account without permission. You may not share your account credentials with any third party.

4. Use of Services

4.1 License:

Syncrostore grants you a non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes in accordance with these Terms.

4.2 Restrictions:

You agree not to:

Modify, reproduce, distribute, create derivative works of, publicly display, or publicly perform the Services, or any portion thereof, without Syncrostore's prior written consent.
Use the Services for any illegal or unauthorized purpose.
Interfere with or disrupt the integrity or performance of the Services.
Attempt to gain unauthorized access to the Services or any related systems or networks.
Use any automated means, including robots, spiders, or scrapers, to access the Services or collect data from the Services.

4.3 Third-Party Services:

The Services may integrate with or provide access to third-party services and applications. Your use of such third-party services is subject to the terms and conditions of those services.

5. Fees and Payment

5.1 Fees:

Syncrostore may charge fees for the use of the Services. These fees may include, but are not limited to, subscription fees, transaction fees, and fees for processing settlements with vendors. The fees and payment terms will be communicated to you during the account registration process or in a separate agreement.

5.2 Payment:

You agree to pay all applicable fees in a timely manner. Failure to pay fees may result in the suspension or termination of your access to the Services.

6. Data Ownership and Privacy

6.1 Data Ownership:

You retain ownership of all data and information that you input into the Services ("Your Data"). This includes data related to your vendors, their consigned goods, and settlement transactions.

6.2 Privacy:

Syncrostore's collection, use, and disclosure of Your Data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You consent to the collection, use, and disclosure of Your Data as described in the Privacy Policy.

7. Intellectual Property

7.1 Ownership:

Syncrostore retains all right, title, and interest in and to the Services, including all intellectual property rights.

7.2 Feedback:

If you provide any feedback, suggestions, or ideas to Syncrostore regarding the Services ("Feedback"), you grant Syncrostore a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback worldwide in any media.

8. Disclaimer of Warranties

8.1 As Is:

The Services are provided "as is" and without warranty of any kind, express or implied.

8.2 No Warranty:

Syncrostore does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.

9. Limitation of Liability

9.1 Exclusion of Damages:

To the maximum extent permitted by applicable law, in no event shall Syncrostore be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if Syncrostore has been advised of the possibility of such damages.

9.2 Limitation of Liability:

Syncrostore's total liability to you for any claim arising out of or relating to these Terms or the Services shall be limited to the amount you paid to Syncrostore, if any, during the month of the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Syncrostore and its affiliates, officers, directors, employees, and agents harmless from all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

11. Termination

11.1 Termination by Syncrostore:

Syncrostore may terminate your access to the Services at any time, with or without cause, with or without notice.

11.2 Termination by You:

You may terminate your use of the Services at any time by closing your account.

11.3 Effect of Termination:

Upon termination, your right to use the Services will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions.

13. Entire Agreement

These Terms constitute the entire agreement between you and Syncrostore relating to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

14. Modifications

Syncrostore may modify these Terms at any time by posting the revised Terms on the Services. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the revised Terms.
